These Terms of Use ("Terms") contain important information about your legal obligations as a user of our service available at this website (the "Service"). When we refer to the "Service," we also mean any component of the Service. These Terms apply to anyone who registers for, accesses, browses, or otherwise uses the Service ("user" or "you"), whether you are a homeowner seeking a contractor (a "Homeowner") or a contractor providing home improvement services (a "Contractor").

TheTradeFolks is a brand operated by Schaltworks LLC, a Delaware limited liability company ("Schaltworks LLC," "we," "us," or "our"). Our processing of personal information in connection with your access to and use of the Service is described in our Privacy Policy.

By using the Service, you declare and warrant that you:

Have read, understand, have the legal capacity to, and agree to be legally bound by these Terms;
Are at least 18 years of age and the age of majority in your jurisdiction;
Are an owner of the property or have the authority of the owner to carry out repairs or renovations when acting as a Homeowner;
Will comply with these Terms and all applicable laws and regulations.

If you do not agree with these Terms, please do not use the Service.

1. The Service

TheTradeFolks is a marketing and referral service that connects U.S. Homeowners with vetted Contractors in our network. We are not a contractor, installer, or service provider ourselves. We do not perform any roofing, HVAC, plumbing, electrical, solar, remodeling, flooring, fencing, tree removal, or other home service work.

To request a quote, Homeowners fill out the necessary information on the Service, including their location, project type, and contact information. After a Homeowner submits their request, a Contractor we have selected may reach out to the Homeowner to provide the requested service.

Homeowners and Contractors enter into their own discussions, contracts, and arrangements for home improvement services. We are not a party to such contracts and do not guarantee the provision of any services by Contractors, including with respect to pricing, execution, timeliness, or quality of work, materials used, or work product. We will not indemnify you or be responsible for any damage caused in relation to services performed by Contractors.

TheTradeFolks and Contractors operate independently from one another. At no time shall a Contractor hold themselves out as an employee, officer, agent, representative, or partner of TheTradeFolks, nor shall TheTradeFolks be a party to any contract between a Homeowner and a Contractor.

Homeowners must provide accurate and up-to-date information about the services that they receive (or do not receive) from Contractors. Please notify us if a Contractor proposes that you misrepresent the work performed or attempt to deceive us in any way.

2. Eligibility

To use our Service you must:

Be at least 18 years of age;
Be a current resident of the United States;
Be the owner of the property the work concerns, or be acting with the owner's authorization;
Provide accurate, current, and complete information when filling out our quote request;
Have not previously been suspended or removed from the Service.

3. Referral Fee Disclosure

TheTradeFolks may receive a referral fee from the Contractor we match you with. This fee is paid by the Contractor and does not affect the price you pay or the quality of the quote you receive. Our service is and always remains free for Homeowners.

4. Communication Consent (TCPA Notice)

By submitting your phone number through our quote request form, you expressly consent to receive:

A one-time text message verification code from TheTradeFolks;
Follow-up communications by phone, text message, or email from the Contractor we match you with regarding your project;
Service-related emails from TheTradeFolks regarding your request, account, or these Terms.

You can opt out of marketing text messages at any time by replying STOP to any message. Standard message and data rates may apply.

Per FCC regulation 47 C.F.R. § 64.1200(c)(1), no person or entity shall initiate any telephone solicitation to a residential telephone subscriber before the hour of 8 a.m. or after 9 p.m. (local time at the called party's location). The Contractor we match you with is required to honor this rule.

5. Use Restrictions

You may not, attempt to, or assist anyone else in doing any of the following:

Use any robot, spider, scraper, or other automated means to access the Service or copy its content without our prior written consent;
Bypass, deactivate, impair, or otherwise circumvent any security or access control measure of the Service;
Probe, scan, or test the vulnerability of the Service or breach security or authentication measures;
Use the Service for any illegal purpose or to create or offer a competing service;
Resell, sublicense, reverse engineer, decompile, disassemble, or modify the Service;
Submit false, misleading, abusive, threatening, defamatory, or libelous content;
Harass, threaten, or impersonate any other person, falsify your contact information, or misrepresent your relationship with any person or entity, including TheTradeFolks;
Send spam, collect personal information about other users, or initiate telephone solicitations outside the hours of 8 a.m. to 9 p.m. local time;
Submit any content containing viruses, malware, or other harmful or disruptive components;
Promote advertisements, contests, or sweepstakes without our prior written consent.

6. Intellectual Property

All content on the Service, including text, graphics, logos, icons, designs, software, and the compilation thereof (collectively, "Content"), is the property of TheTradeFolks or our licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service solely to learn about it and connect with Contractors.

Any content you submit to us (such as your quote request information or any feedback) ("User Content") may be used by us in connection with operating the Service. You grant us a worldwide, royalty-free license to use, store, and process your User Content for the purposes described in these Terms and our Privacy Policy.

7. Warranties and Disclaimers

The Service and Content are provided "as is," "with all faults," and "as available" without warranty or condition of any kind. To the fullest extent permitted by law, we disclaim all representations, warranties, and conditions regarding the Service, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not provide any warranty for services offered by Contractors, including pricing, timeliness, quality, materials, or workmanship.

8. Limitation of Liability

To the maximum extent permitted by law, TheTradeFolks, its owners, officers, employees, contractors, and affiliates (collectively, "TheTradeFolks Parties") shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, data, or use, arising out of or related to your use of the Service or the work performed by any Contractor.

If any part of the warranty disclaimers or limitations of liability is found to be invalid or unenforceable, our total aggregate liability for all claims shall not exceed one hundred U.S. dollars ($100.00).

Contractors are fully responsible for the actions of their employees, contractors, and consultants in the event of damage, crime, or wrongful acts against Homeowners and their property during the provision of services.

9. Indemnification

You agree to defend, indemnify, and hold harmless TheTradeFolks Parties from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (i) any breach of these Terms; (ii) your use or misuse of the Service; (iii) your violation of applicable law or third-party rights; or (iv) any dispute between you and a Contractor or Homeowner regarding services rendered or not rendered.

10. Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court. You and TheTradeFolks agree that these Terms affect interstate commerce and that the Federal Arbitration Act governs the interpretation and enforcement of these arbitration provisions.

10.1 Initial Dispute Resolution

Most disputes can be resolved without resort to litigation. You can reach our support team at support@thetradefolks.com. Except for intellectual property and small claims court claims, the parties agree to use their best efforts to settle any dispute through informal consultation, and good-faith negotiation will be a condition to either party initiating arbitration or a lawsuit.

10.2 Binding Arbitration

If the parties do not reach an agreed solution within thirty (30) days from the start of informal dispute resolution, then either party may initiate binding arbitration as the sole means to resolve claims. All claims arising out of or relating to these Terms, the parties' relationship, or your use of the Service will be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

Arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Wilmington, Delaware. The arbitration shall be governed by the laws of the State of Delaware. Each party shall bear its own costs and an equal share of the arbitrator's and administrative fees. The arbitrator's award shall be in writing and binding.

10.3 Class Action Waiver

Arbitration will be conducted in your individual capacity only and not as a class action or representative action. YOU AND TheTradeFolks AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If a court determines that the class action waiver is unenforceable, then the entire arbitration provision will be deemed null and void.

10.4 Exception: IP and Small Claims

Either party may bring claims in court relating to theft or unauthorized use of intellectual property, or in a small claims court for disputes within the court's jurisdiction.

10.5 30-Day Right to Opt Out

You have the right to opt out of these arbitration and class action waiver provisions by sending written notice to support@thetradefolks.com with the subject line "ARBITRATION OPT-OUT" within 30 days of your first use of the Service. If you opt out, TheTradeFolks will not be bound by these provisions either.

11. Electronic Communications

By using the Service, you consent to receive electronic communications from us regarding (i) your use of the Service and (ii) updates to the Service or these Terms. You may unsubscribe from promotional emails by following the instructions in any such email.

12. Third-Party Websites and Services

The Service may depend on or contain links to third-party websites and services that we do not control. We are not responsible for the operation, privacy practices, or content of any third-party site. Different terms and privacy policies may apply to your use of those sites.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. You may stop using the Service at any time. Sections that by their nature should survive termination will survive (including limitation of liability, indemnification, arbitration, and governing law).

14. Modifications to These Terms

We reserve the right to modify these Terms at any time by posting a revised version on the Service. In the case of material changes, we will seek to notify you in advance of the effective date. Continued use of the Service after the revised Terms become effective means you accept the changes.

15. Severability and Governing Law

If any provision of these Terms is determined to be unlawful, void, or unenforceable, the remaining provisions will continue to be valid and enforceable. These Terms are governed by the laws of the State of Delaware, and the federal laws of the United States that apply therein.
